Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Verse and Company LLC, a Florida limited liability company doing business as Verse & Coffee ("Verse & Coffee," "we," "us," or "our").

By accessing or using verseandcoffee.com (the "Site"), creating an account, placing an order, or subscribing to our Coffee Club, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you do not agree to these Terms, do not use the Site or purchase any products.

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

We make reasonable efforts to display product descriptions, images, flavor profiles, and other details as accurately as possible. However, we do not guarantee that product descriptions, images, colors, or other content on the Site are completely accurate, current, or error-free.

All products listed on the Site are subject to availability. We reserve the right to discontinue any product at any time without notice. If a product you ordered is unavailable, we will notify you by email and either offer a substitution or issue a full refund.

Coffee is a natural agricultural product. Flavor profiles, color, and aroma may vary slightly between batches due to natural variations in the harvest, processing, and roasting conditions. These natural variations do not constitute a defect.

3. Pricing and Payment

All prices listed on verseandcoffee.com are in U.S. dollars (USD). Prices are subject to change without prior notice, but changes will not affect orders that have already been confirmed and paid.

We use Stripe as our third-party payment processor. By placing an order, you authorize Stripe to charge your selected payment method for the total order amount, including applicable shipping charges. We do not store your full credit card number, expiration date, or CVV on our servers. All payment data is processed and secured by Stripe in accordance with PCI DSS standards.

You are responsible for all charges incurred under your account, including unauthorized purchases made by someone who accessed your account due to your failure to protect your login credentials.

Unbrewed coffee beans are not subject to sales tax under current Florida law. If tax obligations change in the future, applicable taxes will be calculated and displayed at checkout before you complete your purchase.

Order Confirmation. After you place an order, you will receive an order confirmation email. This email confirms that we have received your order, but it does not mean your order has shipped. We reserve the right to cancel any order for any reason, including pricing errors, suspected fraud, or product unavailability. If we cancel your order, we will issue a full refund to your original payment method.

4. Shipping and Delivery

We currently ship to addresses within the United States only, including Alaska, Hawaii, and U.S. territories where applicable (shipping rates for Alaska, Hawaii, and Puerto Rico may differ from the continental U.S. rate).

Shipping times shown on the Site or in notification emails are estimates only. Actual delivery dates may vary depending on your location, carrier performance, weather, and other factors outside our control.

Risk of Loss. Title to and risk of loss for all products passes to you upon our delivery of the product to the shipping carrier. Once a package is in the carrier's possession, any damage, loss, or theft that occurs during transit is the carrier's responsibility. We will assist you in filing a claim with the carrier if your package is lost or damaged during shipping.

Incorrect Addresses. You are responsible for providing accurate and complete shipping information at checkout. We are not responsible for orders shipped to incorrect addresses provided by the customer. If a package is returned to us due to an incorrect address, we will contact you to arrange re-shipment at your expense.

5. Subscription Service (Coffee Club)

5a. Subscription Terms

Our Coffee Club is a recurring subscription service that delivers fresh-roasted coffee on a schedule you choose. By subscribing to the Coffee Club, you agree to the following:

5b. Pre-Purchase Disclosure (Auto-Renewal Summary)

By subscribing to the Coffee Club, you expressly acknowledge and agree that:

  1. Your subscription involves recurring charges at the frequency you selected (every 2 weeks or every month)
  2. Your payment method will be charged automatically on each renewal date until you cancel
  3. The amount charged will be the subscription price for your selected product(s) plus any applicable shipping
  4. You may cancel your subscription at any time through your account dashboard at verseandcoffee.com or by emailing [email protected]
  5. Cancellations must be submitted at least 48 hours before your next scheduled billing date to avoid being charged for the following cycle

5c. Managing Your Subscription

You may manage your subscription through your account dashboard at verseandcoffee.com. Available actions include:

5d. Post-Purchase Confirmation

After subscribing, you will receive a confirmation email that includes: your subscription details, the renewal frequency, the subscription price, and instructions on how to cancel. You will also receive a confirmation email after each renewal charge is processed.

5e. Price Changes

If we increase subscription pricing, we will notify you by email at least 30 days before the new price takes effect. You may cancel your subscription before the new price applies. If you do not cancel before the effective date, your continued subscription constitutes acceptance of the new price.

6. Accounts

You may create an account on verseandcoffee.com to track orders, manage subscriptions, and save your information for future purchases. You are responsible for maintaining the confidentiality of your account login credentials and for all activity that occurs under your account.

All content on verseandcoffee.com, including but not limited to text, graphics, logos, images, product descriptions, page layouts, and software, is the property of Verse and Company LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

The Verse & Coffee name, logo, and all related marks are trademarks of Verse and Company LLC. You may not use, reproduce, modify, or distribute any of our trademarks or copyrighted material without our prior written consent.

If you submit reviews, comments, feedback, or other content to the Site or to our social media channels ("User Content"), you grant Verse and Company LLC a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, and display such User Content in any media for any purpose.

You represent and warrant that your User Content does not violate any third party's rights and does not contain any defamatory, obscene, or unlawful material.

We reserve the right to remove any User Content at our sole discretion without notice.

You are solely responsible for the proper and safe handling, storage, and consumption of all products you receive from Verse & Coffee.

Coffee is an agricultural product. While we take every precaution during sourcing, roasting, packaging, and shipping, we cannot control conditions after delivery. You agree to:

12. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VERSE AND COMPANY LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY DEFECTS WILL BE CORRECTED OR THAT THE SITE OR THE SERVERS THAT MAKE THE SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE CONTENT ON THE SITE OR THE CONTENT OF ANY WEBSITES LINKED TO THE SITE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERSE AND COMPANY LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR PRODUCTS EXCEED THE TOTAL AMOUNT YOU PAID TO VERSE AND COMPANY LLC DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to defend, indemnify, and hold harmless Verse and Company LLC, its members, managers, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

15a. Governing Law

These Terms and any disputes arising out of or relating to these Terms or your use of the Site shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

15b. Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will make reasonable efforts to resolve any dispute within 30 days of receiving your written notice.

15c. Binding Arbitration

If we are unable to resolve a dispute informally within 30 days, any controversy or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Palm Beach County, Florida. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15d. Class Action Waiver

YOU AND VERSE AND COMPANY LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and Verse and Company LLC agree otherwise, the arbitrator may not consolidate or join more than one person's or party's claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding.

15e. Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court in Palm Beach County, Florida, for claims that fall within the court's jurisdictional limits.

16. Third-Party Links

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Verse and Company LLC. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused or alleged to be caused by or in connection with your use of any such third-party content, goods, or services.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

18. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Verse and Company LLC regarding your use of the Site and purchase of products. These Terms supersede all prior agreements, representations, and understandings, whether oral or written.

19. Waiver

The failure of Verse and Company LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Verse and Company LLC.
